Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your company's use of WhisperDoc. By creating an account or using the service, you agree to these Terms.

2. Service Description

WhisperDoc provides an AI-assisted document organization platform that:

  • Connects to supported cloud storage providers
  • Processes file metadata using AI
  • Creates, tags, and moves files or folders
  • Allows users to guide or customize sorting
  • Allows rollback using historical folder structures (not file content)

3. Account Registration

To use the service:

  • You must provide accurate registration information.
  • You must ensure only authorized personnel access your company's account.
  • You are responsible for maintaining password and account security.

4. Subscription and Billing

  • WhisperDoc is a subscription-based service with monthly fees.
  • Pricing varies by plan; enterprise customers are billed at custom rates.
  • Subscriptions renew automatically unless cancelled.
  • Refunds are not provided for partial billing periods unless required by law.

5. Customer Responsibilities

You agree to:

  • Ensure you have the legal right to connect your cloud storage to WhisperDoc.
  • Manage and monitor user permissions within your organization.
  • Not use the service for unlawful, harmful, or unauthorized purposes.
  • Follow all cloud provider terms (Google, Microsoft, Dropbox).

You may designate “locked” folders that WhisperDoc will not process.

6. Access to Cloud Storage

Using WhisperDoc requires granting access scopes (read, write, move, organize) through your cloud storage provider. You may revoke access at any time through your provider's admin dashboard. Revoking access may disable portions of the service.

7. AI Processing

You acknowledge that:

  • Metadata and file summaries may be processed by AI models.
  • AI outputs may not be perfect or error-free.
  • You are responsible for reviewing changes before finalizing them.

WhisperDoc is not liable for organizational errors resulting from customer prompts, misconfigurations, or incorrect instructions.

8. Data Storage and Retention

WhisperDoc does not store customer file content. We store:

  • Historical folder structures for rollback
  • Metadata generated by the system
  • Logs and operational data

Upon account termination, stored structures are deleted after a retention period unless required by law.

9. Intellectual Property

  • WhisperDoc retains all rights to the platform, AI models, and related technologies.
  • Customers retain full ownership of their files and file structures.

10. Service Availability

We aim for high service availability but do not guarantee uninterrupted uptime. Scheduled maintenance or external outages (Google/Microsoft/Dropbox) may affect performance.

11. Limitation of Liability

To the fullest extent permitted by law:

  • WhisperDoc is not liable for indirect, incidental, or consequential damages.
  • WhisperDoc's total liability is limited to the amount paid by the customer in the preceding 12 months.

The service is provided “as is.”

12. Termination

You may cancel your subscription at any time.

We may suspend or terminate accounts for:

  • Violations of these Terms
  • Abuse of the system
  • Suspicious or unlawful activity

Upon termination, we will remove your historical folder structures and related data as described in the Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of Norway, without regard to conflict of law principles. Any disputes will be resolved in Norwegian courts unless otherwise required by mandatory law.

14. Changes to Terms

We may update these Terms periodically. Continued use of the service constitutes acceptance of the updated Terms.
